This calculator was put together by a lower-middle market M&A professional who has spent years advising on the acquisition and sale of small and mid-size businesses. Over the course of that work, one pattern repeated itself again and again: founders and owners who had built remarkable businesses were sitting across the table from experienced buyers and their legal teams, encountering purchase agreement terminology for the very first time.

The ranges reflected in the calculator are drawn from publicly available market data and the author's professional experience in this segment.
